Last Updated: December 2025

Welcome to the Invictus Strategies website. By accessing, browsing, or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must cease using this website immediately. These terms apply to all visitors, users, and others who access the Service.

I. Definitions and Interpretation

1.1 "Service" refers to the website operated by the Trustee for The Invictus Strategies Trust.
1.2 "Trustee" refers to the corporate entity acting solely in its capacity as corporate trustee for The Invictus Strategies Trust.
1.3 "User", "You" refers to the individual accessing the website.
1.4 "Content" refers to text, images, code, methodology, and intellectual property displayed on the site.

II. Distinction from Service Engagement

2.1 Invitation to Treat: This website functions strictly as a passive invitation to treat and a conduit for information. These Terms of Use govern only your digital access to this platform and do not constitute an offer capable of acceptance, nor do they form a contract for the provision of any services offered through The Invictus Strategies Trust by the Trustee.

2.2 Service Agreements: The commercial relationship between the Trustee for The Invictus Strategies Trust and its clients is governed by a separate, specific "Terms of Engagement" document. Nothing on this website shall be construed as forming a provider-client or service-provider relationship until such specific engagement documents are executed.

2.3 Trustee Disclosure: Due to the sensitive and highly confidential nature of the Service, the identity of the Corporate Trustee is suppressed from this public-facing document and website, and will be formally disclosed within the execution documents (including the Non-Disclosure Agreement) prior to service commencement.

2.4 No Transactional Capability: Users acknowledge that this website contains no e-commerce or financial transaction capabilities. No fees can be paid via this domain. All commercial engagements and fee settlements are conducted off-site following strict identity verification protocols.

III. Intellectual Property Rights

3.1 Exclusive Ownership: All content on this website, including but not limited to the "Invictus" brand, the "Philosophy" text, logos, graphics, audio, and software code, is the exclusive property of The Invictus Strategies Trust and is protected by New Zealand and international copyright, trademark, and intellectual property laws.

3.2 Limited Licence: You are granted a limited, non-exclusive, revocable licence to view the materials on this website for personal, non-commercial use. You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, or decompile any part of this website without the express written permission of the Trustee.

3.3 Article Reproduction Exception: Notwithstanding clauses 3.1 and 3.2, specific written analysis and articles published within the 'Insights' section of this Service may be reproduced in accordance with the specific 'Open Source License' disclaimer appended to those individual articles. This exception is strictly limited to the text of the specified articles and does not extend to the general design, code, imagery, or branding of the Service.

IV. User Conduct and Prohibited Acts

4.1 Prohibitions: You agree not to: (a) Use the website for any unlawful purpose; (b) Attempt to gain unauthorised access to the website's backend, servers, or database; (c) Use any robot, spider, scraper, or other automated means to access the website; (d) Introduce any viruses, trojan horses, worms, or other malicious code.

V. Legal Disclaimer & No Warranty

5.1 Not Legal Advice: Invictus Strategies is a strategic communications and crisis management consultancy. We are not a law firm, and our consultants are not practising solicitors. The information contained on this website regarding "Cease & Desist" notices, defamation, and legal rights is for general educational purposes only and does not constitute legal advice. You should consult a qualified lawyer for legal counsel.

5.2 "As Is" Basis: This website is provided on an "as is" and "as available" basis. The Trustee makes no representations or warranties of any kind, express or implied, regarding the operation of the site or the accuracy of information.

VI. Consumer Guarantees Act (CGA)

6.1 Business Purposes: If you are accessing this website or inquiring about services for the purposes of a business ("in trade"), you agree that the provisions of the Consumer Guarantees Act 1993 are contracted out to the maximum extent permitted by law.

7.1 Limited Liability: To the fullest extent permitted by New Zealand law, the Trustee's liability for any claim arising from the use of this website shall be limited to the value of the assets of The Invictus Strategies Trust.

7.2 Cap on Liability: To the fullest extent permitted by New Zealand law, the Trustee shall not be liable for any damages of any kind arising from the use of this website, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

7.3 Indemnification: You agree to indemnify, defend, and hold harmless the Trustee and The Invictus Strategies Trust, its officers, directors, employees, agents, and licensors from and against all losses, expenses, damages, and costs, including reasonable legal fees, resulting from any violation of these Terms or any activity related to your account.
